Notice of the Acquisition of Shares of Boss Design Limited (U.K.)
(Conversion to Wholly Owned Subsidiary)

Okamura Corporation (hereinafter the “Company”) hereby announces that it has resolved at the Board of Directors meeting held on March 24^th, 2025 to acquire 100% of the shares issued by Boss Design Limited (headquartered in the U.K.; hereinafter “BDL”) to make BDL a wholly owned subsidiary of the Company. The date of share transfer is scheduled to be early April of 2025.

BDL, established in 1983, is a UK-based office furniture manufacturer known for its high-quality, innovative designs with meticulous attention to detail. The company offers a wide range of furniture, including lounge seating, chairs, tables, work booths, and storage solutions, primarily serving the office and commercial spaces in the UK, European, and US markets.

The Okamura Group has positioned “expansion of overseas businesses rooted in local markets” as a key policy in its medium-term management plan. Through partnerships, joint ventures, and M&A with leading local business partners, the group is working to expand its operations based on a localized production and consumption model.

With this acquisition, Okamura aims to enhance its product lineup in its overseas business by incorporating loose furniture, an area of strength for BDL, in addition to its core product, task seating. Furthermore, by leveraging BDL’s established business foundation in the UK, European, and US markets, along with Okamura’s presence in the Japanese and Asian markets, the two companies will work together to expand product sales, explore new markets, and drive further growth in Okamura’s overseas business.
